Welcome to BusiAds ("we", "us", "our"). BusiAds operates a digital marketplace platform connecting local businesses ("Businesses") with social media content creators ("Creators") for the purpose of advertising and promotional content creation.
By creating an account, accessing, or using our platform at busiads.web.app (or any associated domains) and our services, you ("User", "you") agree to be bound by these Terms and Conditions.
3.1. You must be at least 18 years old to use the Platform.
3.2. You must have the legal capacity to enter into binding contracts under the laws of the Republic of Ghana.
3.3. Creators must possess valid social media accounts with accurate follower counts and be able to provide proof of ownership.
3.3. We reserve the right to refuse service to anyone for any reason at any time.
4.1. To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.
4.2. You are responsible for safeguarding your password and for all activities that occur under your account.
4.3. You must notify us immediately of any unauthorized use of your account.
4.4. We reserve the right to suspend or terminate accounts that violate these Terms.
5.1. Campaign Creation: Businesses must submit accurate details regarding their product, service, target audience, and any claims made in advertising content.
5.2. Payment Obligation: Businesses must make full payment of the Campaign budget upfront before a Campaign is published. All payments are processed through our designated payment partner (Paystack).
5.3. Campaign Approval: BusiAds reserves the right to review and approve all Campaigns before they are published to Creators.
5.4. No Refunds for Completed Work: Once a Creator has completed their task and submitted a valid post URL, the Business is not entitled to a refund for that portion of the budget.
5.5. Refund Policy: If a Campaign is cancelled before any Creator accepts the task, the Business is entitled to a full refund. If only a portion of the Campaign is completed, the Business is entitled to a refund of the unused budget, minus any transaction fees incurred.
6.1. Task Acceptance: Creators must accept tasks in good faith and only if they genuinely intend to complete the work.
6.2. Content Requirements: Creators must create Content that is original, complies with the Campaign brief, and adheres to all applicable laws and platform community guidelines.
6.3. Prohibited Content: Creators may not submit Content that is defamatory, obscene, hateful, misleading, or infringes on any third party's intellectual property rights.
6.4. Disclosure: Creators must comply with all applicable advertising disclosure requirements (e.g., using hashtags like #ad or #sponsored where required by the social media platform).
6.5. Payout: Payouts will be processed to the Creator's designated Mobile Money number after the Content has been posted, verified, and approved by BusiAds.
6.6. Tax Obligations: Creators are solely responsible for any taxes payable on income earned through the Platform.
7.1. Holding of Funds: BusiAds holds all Business payments in a central account until a Creator completes the agreed task.
7.2. Disbursement: Upon approval of a Creator's completed post, BusiAds will disburse the agreed payout to the Creator's designated Mobile Money number.
7.3. Platform Fee: BusiAds retains a Platform Fee (currently 30% of the Campaign budget) which is deducted before calculating the Creator's payout.
7.4. Transaction Fees: Mobile Money transaction fees and payment processing fees will be borne as detailed in the Platform interface.
7.5. Disputes: In the event of a dispute regarding a Campaign or Content, BusiAds will act as the final arbiter and its decision shall be binding.
8.1. Creator Content: Creators retain ownership of the Content they create. By submitting Content to the Platform, Creators grant BusiAds a non-exclusive, worldwide, royalty-free license to use, reproduce, and display the Content for marketing and operational purposes.
8.2. Business Materials: Businesses retain ownership of their trademarks, logos, and product images. By submitting materials to the Platform, Businesses grant BusiAds and Creators a license to use those materials solely for the purpose of fulfilling the Campaign.
8.3. Platform IP: All rights, title, and interest in the Platform itself (excluding User Content) are owned by BusiAds.
9.1. BusiAds acts as a facilitator only. We are not responsible for the actual performance of Creators or the quality of their Content.
9.2. To the maximum extent permitted by law, BusiAds shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
9.3. Our total liability to you for any claim arising from these Terms shall not exceed the amount of fees you have paid to BusiAds in the three (3) months preceding the claim.
10.1. We may terminate or suspend your account immediately, without prior notice, if you breach these Terms.
10.2. Upon termination, your right to use the Platform ceases immediately. Any pending payments will be handled in accordance with our policies.
11.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana.
11.2. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
We reserve the right to modify these Terms at any time. We will provide notice of material changes via the Platform or email. Your continued use of the Platform after changes constitutes acceptance of the new Terms.
